By accessing this website, booking an appointment, or receiving services at Félix Vida Wellness, you agree to be bound by these Terms of Service ("Terms") in their entirety. If you disagree with any part of these Terms, please do not use our services or website.

Your continued use of our website or services following the posting of any changes to these Terms constitutes acceptance of those updated terms. We encourage you to review these Terms periodically.

Last Updated: April 1, 2026. These Terms are effective as of the date above and apply to all website visitors, prospective patients, and current patients of Félix Vida Wellness.

2. About Our Services & Medical Disclaimer

Félix Vida Wellness offers elective aesthetic, regenerative, and wellness services in Scottsdale, Arizona. Services are performed by or under the supervision of licensed healthcare professionals pursuant to standing orders from our Medical Director, Dr. Christopher Ray, MD.

Important Medical Disclaimer: Please read the following carefully before using our services or website.

  • The services provided at Félix Vida Wellness are NOT intended to diagnose, treat, cure, or prevent any disease or medical condition.
  • Our services are NOT a substitute for care from your primary care physician, specialist, or any licensed medical provider.
  • All content on this website is provided for informational purposes only and does not constitute medical advice, diagnosis, or a treatment plan.
  • Never disregard professional medical advice or delay in seeking it because of something you have read on this website.
  • If you are experiencing a medical emergency, call 911 immediately. Félix Vida Wellness is not an emergency medical facility.

FDA Disclosure: Certain compounded medications and peptide preparations used in our practice have not been independently evaluated or approved by the U.S. Food and Drug Administration (FDA) for specific indications. The use of such preparations is consistent with applicable law governing compounded medications and the practice of medicine. All treatments, including the use of any compounded or off-label preparations, are fully disclosed and discussed with you during your clinical consultation prior to receiving any service.

Prescription Medications: Certain services, including GLP-1 medical weight loss and hormone optimization therapy, may involve FDA-approved prescription medications prescribed by or under the authority of our Medical Director, Dr. Christopher Ray, MD. All prescription medications are subject to a medical evaluation and clinical eligibility determination. Prescriptions are issued at the sole clinical discretion of the prescribing provider and are non-transferable.

3. Eligibility

To use this website or receive services at Félix Vida Wellness, you must meet the following eligibility requirements:

  • You must be 18 years of age or older to independently receive services or submit personal information through this website.
  • By booking an appointment, you represent and warrant that you are 18 years of age or older, or that a parent or legal guardian is present and has provided written consent for your care.
  • Minors (individuals under 18 years of age) may receive certain services only with a parent or legal guardian physically present at the time of service and with valid written consent — and solely at the provider's clinical discretion.
  • You represent and warrant that all health history and personal information you provide to Félix Vida Wellness is accurate, current, and complete. Providing false, incomplete, or misleading health information that results in adverse outcomes releases Félix Vida Wellness and its staff from liability for those outcomes to the fullest extent permitted by law.

4. Clinical Requirements & Informed Consent

Patient safety is our highest priority. The following clinical requirements apply to all patients seeking services at Félix Vida Wellness:

  • All patients must truthfully complete intake forms, health history questionnaires, and any other required documentation prior to receiving treatment.
  • A Good Faith Exam (GFE) is required prior to all Level II and Level III procedures, including but not limited to: neuromodulators (Botox®), dermal fillers, microneedling, microneedling with PRP, and IV therapy, consistent with the Arizona Board of Nursing Advisory Opinion (January 2025). The GFE may be conducted in-person or via telemedicine as permitted by applicable Arizona law.
  • A GFE must be renewed on an annual basis or upon any material change in your health history, whichever occurs first.
  • Signed, procedure-specific informed consent is required before each treatment session and is a condition of receiving any service at Félix Vida Wellness. We cannot proceed with any treatment without a valid, signed consent form.
  • Electronic signatures obtained through our intake and consent platform are valid, legally binding, and enforceable under Arizona law, including A.R.S. § 44-7003 (Arizona Electronic Transactions Act).
  • You have the absolute right to refuse any treatment at any time. However, prepaid services that are refused after scheduling may be subject to the cancellation fees described in Section 5 below.

4A. Telehealth Consent

Certain services, including Good Faith Exams, follow-up consultations, and medication management appointments, may be conducted via telehealth (audio and/or video communication) as permitted under Arizona law (A.R.S. § 36-3602). By participating in a telehealth appointment, you acknowledge and agree to the following:

  • Telehealth is not a substitute for in-person evaluation when a physical examination is clinically necessary. Your provider may determine that an in-person visit is required before proceeding with treatment.
  • You are responsible for ensuring a private, well-lit environment with a stable internet connection for your telehealth session. Technical difficulties may require rescheduling.
  • Telehealth sessions are conducted over HIPAA-compliant platforms. However, Félix Vida Wellness cannot guarantee the security of transmissions over the internet and is not responsible for unauthorized access resulting from your network or device.
  • You must be physically located in the state of Arizona at the time of your telehealth appointment. Our providers are licensed in Arizona and can only deliver telehealth services to patients within the state.
  • You have the right to withdraw consent for telehealth at any time and request an in-person appointment instead.

5. Appointment Policy

Scheduling

  • Appointments may be scheduled online through our OptiMantra patient portal, by phone or text at 602.456.0324, or by email at support@felixvidawellness.com.
  • Receipt of a booking confirmation does not guarantee service delivery. Service is contingent upon completion of all required intake forms and clinical eligibility as determined by your provider.

Cancellation Policy

We reserve appointment time specifically for each patient. Out of respect for our providers' schedules and other patients who may need that time, we require advance notice for all cancellations:

  • We require a minimum of 48 hours' notice for cancellations of all scheduled services.
  • Cancellations made with less than 48 hours but more than 24 hours notice: $50 cancellation fee.
  • Cancellations made with less than 24 hours notice: 50% of the scheduled service cost.
  • Same-day cancellations (within 4 hours of the scheduled appointment): 100% of the scheduled service cost.

No-Show Policy

  • Failure to appear for a scheduled appointment without providing any prior notice: 100% of the scheduled service cost will be charged to the payment method on file.
  • After 2 no-shows, a non-refundable deposit equal to 50% of the service cost is required at the time of booking all future appointments.
  • After 3 no-shows, Félix Vida Wellness reserves the right to refuse future bookings at its sole and absolute discretion.

Late Arrival Policy

  • We recommend arriving 10 minutes early for all appointments, particularly first visits, to allow time for intake paperwork.
  • Patients who arrive 15 or more minutes late may be rescheduled at the provider's discretion. Rescheduled late arrivals may be treated as a late cancellation for fee assessment purposes.
  • We cannot guarantee full treatment time for late arrivals. Abbreviated treatments due to late arrival are not eligible for refunds.

Emergency Exception: Documented medical emergencies may be exempt from cancellation fees at management's sole discretion. If you are experiencing or have experienced a medical emergency, please notify us as soon as reasonably possible. Documentation of the emergency may be required.

6. Payment Terms

  • Payment in full is due at the time of service, unless otherwise agreed upon in writing by Félix Vida Wellness management.
  • We accept the following forms of payment: Visa, Mastercard, American Express, Discover, cash, HSA cards, FSA cards, Apple Pay, Venmo, Zelle, and CareCredit where applicable.
  • Félix Vida Wellness does not bill insurance carriers directly. Upon request, we will provide you with an itemized superbill that you may submit to your insurance carrier for potential out-of-network reimbursement. We make no representation or guarantee that any service will be covered, reimbursed, or eligible for reimbursement by your insurance plan.
  • All service prices are subject to change without prior notice. The price in effect at the time of booking confirmation or service delivery — whichever is earlier — will apply to your appointment.
  • PCI-DSS Security: All payment card transactions are processed through a PCI-DSS Level 1 certified payment processor. Félix Vida Wellness does not store, transmit, or have access to full card numbers, CVV codes, or PIN data on our internal systems.

7. Refund Policy

We strive to deliver exceptional results and experiences. Please review our refund policy carefully before purchasing any service or package:

  • Rendered Services: Services that have been delivered are non-refundable. Once a service has been performed, no refund will be issued regardless of outcome.
  • Prepaid Single-Service Packages: A full refund is available within 7 calendar days of the date of purchase, provided that no services from the package have been received. After 7 days, or after any service from the package has been received, no refund will be issued.
  • Multi-Service Packages: If a multi-service package has been partially used within the first 90 days of purchase and you wish to discontinue, you may request a prorated refund. The prorated refund is calculated as follows: (original purchase price) minus (the full à la carte price of all services already received). No refunds are available after 90 days from the date of purchase or after all services in the package have been consumed, whichever occurs first.
  • Deposits: All deposits collected at the time of booking are non-refundable, except in the event that Félix Vida Wellness cancels the appointment with less than 24 hours notice, in which case the deposit will be refunded in full or applied to a rescheduled appointment at your election.
  • Exceptions to this refund policy may be granted at management's sole and absolute discretion on a case-by-case basis. All refund requests must be submitted in writing to support@felixvidawellness.com within the applicable refund window described above.
  • Chargebacks & Payment Disputes: Chargebacks or payment disputes initiated with your financial institution that are found to be fraudulent, without merit, or in violation of these Terms may result in immediate termination of the patient relationship and referral of the outstanding balance to a collections agency. You agree to contact Félix Vida Wellness directly before initiating any chargeback.

7A. Membership & Subscription Terms

Félix Vida Wellness offers optional monthly membership plans ("Memberships") that provide recurring service credits, discounts, and other benefits. The following terms apply to all Memberships:

  • Automatic Renewal: Your Membership will automatically renew at the end of each monthly billing cycle until cancelled. By enrolling in a Membership, you acknowledge and agree that your Membership is a recurring subscription with automatic renewal, and you authorize Félix Vida Wellness to charge your designated payment method at the then-current Membership rate each billing cycle until you cancel in accordance with the cancellation provisions below. This auto-renewal provision is provided in compliance with FTC guidelines and Arizona Revised Statutes § 44-1791 et seq. (Arizona Automatic Renewal Law).
  • Billing: Memberships are billed monthly on a recurring basis to the payment method you provide at enrollment. You authorize Félix Vida Wellness to charge your designated payment method each billing cycle until you cancel.
  • Cooling-Off Period: You may cancel your Membership within three (3) business days of enrollment for a full refund of any amounts paid. To exercise this right, submit written notice to support@felixvidawellness.com within the 3-business-day window. This cooling-off right is in addition to any cancellation rights provided under Arizona Revised Statutes § 44-1791.
  • Minimum Commitment: All Memberships require a minimum commitment of 3 consecutive months. You may not cancel your Membership during the initial 3-month period except during the cooling-off period described above or as otherwise required by applicable law.
  • Service Credits: Each Membership tier includes a monthly service credit. Unused credits roll over month-to-month for as long as your Membership remains active. Rolled-over credits have no cash value and are forfeited upon cancellation or termination of your Membership.
  • Discounts and Benefits: Membership discounts apply to services rendered while your Membership is active and in good standing. Discounts cannot be combined with other promotional offers unless expressly stated.
  • Cancellation After Cooling-Off Period: After the initial 3-month commitment period, you may cancel your Membership at any time by providing written notice to support@felixvidawellness.com at least 15 days before your next billing date. Cancellation is effective at the end of the current billing cycle. No partial-month refunds will be issued.
  • Forfeiture of Credits: Upon cancellation or termination, all unused and rolled-over service credits are immediately forfeited and have no cash value. Credits may not be transferred to another patient or redeemed for cash. This forfeiture applies regardless of the reason for cancellation.
  • Failed Payments: If a scheduled payment fails, we will attempt to process the charge up to two additional times within 7 days. If payment cannot be collected after three attempts, your Membership may be suspended or terminated, and all accrued credits may be forfeited.
  • Changes: Félix Vida Wellness reserves the right to modify Membership pricing, benefits, or terms with at least 30 days' written notice to active Members. If you do not agree to the modified terms, you may cancel your Membership effective at the end of your current billing cycle.

8. Results Disclaimer

Aesthetic and wellness outcomes are highly personal and inherently variable. Before booking any service, please read and understand the following disclaimer:

FELIX VIDA WELLNESS MAKES NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES, EXPRESS OR IMPLIED, REGARDING THE OUTCOME OR RESULTS OF ANY TREATMENT. ALL AESTHETIC AND WELLNESS OUTCOMES ARE HIGHLY INDIVIDUAL AND DEPEND ON FACTORS INCLUDING BUT NOT LIMITED TO: INDIVIDUAL PHYSIOLOGY, SKIN TYPE, HEALTH STATUS, ADHERENCE TO AFTERCARE INSTRUCTIONS, LIFESTYLE FACTORS, AND FREQUENCY OF TREATMENT. RESULTS MAY VARY SIGNIFICANTLY FROM PERSON TO PERSON AND FROM PHOTOGRAPHS OR DESCRIPTIONS SHOWN ON OUR WEBSITE OR SOCIAL MEDIA. 9. Patient Responsibilities

As a patient of Félix Vida Wellness, you accept the following responsibilities:

  • Disclose all medications (prescription, over-the-counter, and herbal/supplement), medical conditions, known allergies, prior cosmetic or aesthetic treatments, and any relevant health history accurately and completely to your provider before each treatment session.
  • Follow all pre-treatment and post-treatment instructions provided by your provider. Failure to comply with aftercare instructions may negatively impact your results and your ability to seek remediation.
  • Notify Félix Vida Wellness promptly and immediately of any adverse reactions, side effects, complications, or concerns following treatment. Contact us at 602.456.0324 (call or text) or support@felixvidawellness.com. In the case of a medical emergency, call 911.
  • Honor scheduled appointments or cancel in accordance with the cancellation policy set forth in Section 5 of these Terms.
  • Treat all Félix Vida Wellness staff, providers, and other patients with courtesy and respect. Félix Vida Wellness reserves the right to immediately terminate any patient relationship — without refund of unused services — in response to abusive, threatening, harassing, discriminatory, or otherwise inappropriate conduct directed at our staff or other patients.

10. Intellectual Property

  • All content appearing on this website, including but not limited to: text, articles, service descriptions, photographs, images, graphics, logos, icons, layout, and design, is the exclusive property of Félix Vida Wellness and is protected by United States copyright law, trademark law, and other applicable intellectual property laws.
  • You may not reproduce, duplicate, copy, sell, resell, distribute, modify, create derivative works of, or use any content from this website for any commercial purpose without the prior express written permission of Félix Vida Wellness.
  • The Félix Vida Wellness name, logo, and all associated brand marks are protected trademarks and may not be used without express written authorization.
  • Unauthorized use of any intellectual property belonging to Félix Vida Wellness may subject you to civil and criminal penalties.

11. Website Use & Acceptable Use Policy

This website is provided for your personal, non-commercial, and informational use only. By using this website, you agree to the following acceptable use standards:

  • You will not use automated tools, bots, scrapers, crawlers, or similar technology to access, extract, or collect data from this website without express written authorization.
  • You will not submit false, misleading, or fraudulent information through any contact form, booking form, intake form, or any other interactive feature of this website.
  • You will not attempt to gain unauthorized access to any portion of this website, our booking systems, patient records, or any related systems or networks.
  • You will not use this website in any manner that could disable, overburden, damage, or impair its functionality or interfere with any other party's use of the website.
  • Félix Vida Wellness reserves the right to terminate, restrict, or deny access to this website to any individual at any time and for any reason, including for violation of these acceptable use standards.

12. Limitation of Liability

Please read this section carefully as it limits the liability of Félix Vida Wellness and its associated parties.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FELIX VIDA WELLNESS, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND MEDICAL DIRECTOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE OUR SERVICES OR WEBSITE; (B) ANY TREATMENT OUTCOME; OR (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SYSTEMS. IN NO EVENT SHALL FELIX VIDA WELLNESS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM ANY SINGLE SERVICE EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THAT SPECIFIC SERVICE. NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR PROFESSIONAL MALPRACTICE TO THE EXTENT SUCH LIABILITY CANNOT BE LIMITED UNDER ARIZONA LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Félix Vida Wellness, its Medical Director, owners, officers, nurses, employees, contractors, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • (a) Your use of or access to our services or website;
  • (b) Your violation of any provision of these Terms of Service;
  • (c) Your provision of inaccurate, incomplete, or misleading health information to Félix Vida Wellness or its providers; or
  • (d) Your violation of any rights of a third party, including but not limited to any intellectual property rights or privacy rights.

This indemnification obligation survives the termination of your patient relationship with Félix Vida Wellness and the termination or expiration of these Terms.

14. Disclaimer of Warranties

To the fullest extent permitted by law, Félix Vida Wellness makes the following disclaimer with respect to our services and website:

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, ALL SERVICES AND WEBSITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Dispute Resolution & Mandatory Arbitration

Important Notice: These Terms contain a binding arbitration clause and a class action waiver. By agreeing to these Terms, you waive your right to a jury trial and your right to participate in a class action lawsuit. Please read this section carefully.

Agreement to Arbitrate: Any dispute, claim, or controversy arising out of or relating to these Terms, the services provided by Félix Vida Wellness, or your relationship with Félix Vida Wellness — including but not limited to claims of negligence, breach of contract, consumer fraud under A.R.S. § 44-1521 et seq., and any other statutory or common law claims — shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at adr.org, except as expressly provided below.

Pre-Arbitration Notice Requirement: Before initiating any arbitration proceeding, you must first send a written notice of your dispute to Félix Vida Wellness at: 9170 E. Bahia Dr. Suite #107, Scottsdale, AZ 85260. Félix Vida Wellness will have 30 calendar days from receipt of such notice to attempt to resolve the dispute informally. If the dispute is not resolved within that 30-day period, either party may then proceed with arbitration.

Arbitration Rules & Procedures: Arbitration shall be conducted by a single neutral arbitrator. Arbitration hearings shall take place in Maricopa County, Arizona, or via videoconference by mutual written agreement of the parties. The arbitrator's decision and award shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND FELIX VIDA WELLNESS EACH EXPRESSLY WAIVE ANY RIGHT TO BRING CLAIMS AGAINST THE OTHER AS A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. ALL CLAIMS — WHETHER IN ARBITRATION OR IN ANY COURT PROCEEDING PERMITTED UNDER THESE TERMS — MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY.

Exceptions to Arbitration: Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction solely to protect intellectual property rights or to prevent immediate, irreparable harm pending the outcome of arbitration. Additionally, claims that fall within the jurisdiction of the Arizona small claims court are excluded from the mandatory arbitration requirement.

Governing Arbitration Law: The Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) governs the interpretation, validity, and enforcement of this arbitration agreement. Per A.R.S. § 12-1501 (Arizona Uniform Arbitration Act), any written agreement to arbitrate is valid, enforceable, and irrevocable, save upon such grounds as exist at law or in equity for the revocation of any contract.

16. Governing Law & Venue

These Terms of Service and all related matters shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles or rules.

For any matters not subject to mandatory arbitration under Section 15, you hereby irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona. You waive any objection to the laying of venue in such courts and any objection that such courts constitute an inconvenient forum.

17. Electronic Communications Consent

By providing your email address or mobile phone number to Félix Vida Wellness, you expressly consent to receive the following types of electronic communications:

  • Transactional Communications: Appointment confirmations, reminders, cancellation notices, payment receipts, intake forms, health updates, and other communications directly related to your patient care and account, delivered via email and/or SMS text message.
  • Marketing Communications: Promotional offers, newsletters, wellness content, and other marketing materials — only if you have provided separate and distinct express written consent for such communications.

Opt-Out Rights:

  • You may opt out of marketing email communications at any time by clicking the "unsubscribe" link in any marketing email. Opt-out requests will be honored within 10 business days.
  • You may opt out of marketing SMS communications at any time by replying STOP to any marketing text message. Opt-out requests will be honored within 10 calendar days, consistent with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227.
  • You may not opt out of transactional communications (such as appointment reminders, safety notices, and account-related communications) while you remain an active patient of Félix Vida Wellness. If you wish to cease receiving all electronic communications, you must request formal account closure in writing.

Standard message and data rates from your mobile carrier may apply to SMS communications. Félix Vida Wellness is not responsible for any fees charged by your mobile carrier.

18. HIPAA & Protected Health Information

Your protected health information (PHI) is governed by our Privacy Policy and HIPAA Notice of Privacy Practices, which is available at privacy-policy.html. Our HIPAA Notice of Privacy Practices describes how we may use and disclose your PHI and your rights with respect to your health information.

These Terms of Service do not alter, limit, or supersede any rights you have under the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations, or any other applicable federal or state privacy laws governing your health information. In the event of any conflict between these Terms and our HIPAA Notice of Privacy Practices with respect to your health information, the HIPAA Notice of Privacy Practices shall control.

19. Photograph & Media Release

Félix Vida Wellness may take before-and-after photographs or video of treatment areas for clinical documentation purposes. These images are part of your medical record and are protected under HIPAA.

Use for Marketing or Educational Purposes: We will never use your photographs, likeness, or any identifiable images for marketing, advertising, social media, educational materials, or any purpose beyond your clinical record without your separate, express written consent via a signed Photo/Media Release form.

  • Consent for photo release is entirely voluntary and is not a condition of receiving treatment.
  • You may revoke your photo/media release consent at any time by submitting a written request to support@felixvidawellness.com. Revocation will apply to future use only; it does not apply to materials already published or distributed prior to receipt of your revocation.
  • Where consent is granted, all images used for marketing purposes will be de-identified (no full name or identifying information displayed) unless you provide additional specific written authorization.

20. Force Majeure

Félix Vida Wellness shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters (earthquakes, floods, fires, severe weather events)
  • Epidemics, pandemics, or public health emergencies
  • Government orders, quarantines, or regulatory actions
  • Civil unrest, acts of terrorism, or acts of war
  • Utility failures, internet outages, or third-party system failures (including our booking platform or payment processor)
  • Supply chain disruptions affecting the availability of medical products or materials

In the event of a force majeure occurrence, affected appointments will be rescheduled at no additional charge and no cancellation fees will apply. Félix Vida Wellness will make reasonable efforts to notify affected patients as soon as practicable. If a force majeure event continues for more than 90 consecutive days, either party may terminate the affected services without penalty.

21. Severability

If any provision of these Terms of Service is found by a court or arbitrator of competent jurisdiction to be unlawful, void, unenforceable, or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable and consistent with the parties' original intent. All remaining provisions of these Terms shall continue in full force and effect and shall not be affected by the invalidity or unenforceability of any single provision.

22. Entire Agreement

These Terms of Service, together with our Privacy Policy, our HIPAA Notice of Privacy Practices, and any signed procedure-specific consent forms and patient intake documentation you have executed, constitute the entire agreement between you and Félix Vida Wellness with respect to the subject matter herein.

These Terms supersede all prior and contemporaneous understandings, negotiations, representations, and agreements — whether written or oral — between the parties relating to the same subject matter. No oral modification, waiver, or amendment of these Terms shall be binding on either party.

23. Amendments

Félix Vida Wellness reserves the right to update, modify, or replace these Terms of Service at any time in its sole discretion. When changes are made, the updated version will be posted on this page with a revised effective date indicated at the top of the document.

For material changes — those that significantly affect your rights or obligations — Félix Vida Wellness will make reasonable efforts to notify active patients via email to the address on file. It is your responsibility to maintain a current and accurate email address with us.

Your continued use of our services or website after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of our services and website and notify us in writing.
